Effective Date: May 1st 2025

This Terms of Service Agreement (“Agreement”) governs your access to and use of the DPSkin Essentials software and associated services, owned and operated by CORPODERM, CORP., a Delaware Corporation, having its principal place of business at 6448 E Highway 290 Unit C105, Austin, TX 78723 (“Company”, “we”, “us”, or “our”).

By subscribing to DPSkin Essentials, you (“Customer”, “you”) agree to be bound by these Terms.

1. SUBSCRIPTION TERMS

• Billing & Renewal: By subscribing, you enter a 6-month commitment, billed monthly at $195/month. The subscription automatically renews at the end of each 6-month cycle unless canceled before renewal.
• Cancellation: You may cancel at any time; however, cancellation does not exempt you from fulfilling your financial commitment for the initial 6-month term. Early termination does not result in a refund or proration unless required by applicable law.
• Refund Policy: Subscriptions are non-refundable. Please review the product and commitment terms carefully before purchase.
• Trial or Discounts: If a coupon or promotional offer is applied to the first month, subsequent months will be billed at the full rate unless otherwise specified in writing.

2. PAYMENT

All payments are processed securely via Stripe, and your payment method will be stored for automated monthly billing. You are responsible for ensuring your payment method remains valid and funded.

Taxes are calculated and collected using Stripe Tax based on your location and Corpoderm’s tax nexus, which is currently limited to Texas. Sales outside of Texas may not incur tax unless the law changes or tax nexus is established in other states.

3. LIMITATION OF LIABILITY

To the maximum extent permitted by Texas and U.S. law, Corpoderm, Corp. is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the software. Liability is limited to the amount paid by the customer within the preceding 6 months.

4. TEXAS COMPLIANCE & GOVERNING LAW

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in Travis County, Texas. You agree to comply with all applicable laws and regulations, including data privacy and subscription billing laws relevant to your jurisdiction.

5. PRODUCT & OWNERSHIP

DPSkin Essentials is proprietary software developed and owned by Pixience and distributed by Corpoderm, Corp. The software is licensed to end users on a subscription basis, not sold. All content, technology, source code, user interfaces, branding, and visual elements remain the exclusive intellectual property of Pixience and are protected under U.S. and international copyright, trademark, and trade secret laws.

Corpoderm, Corp. acts as the authorized distributor and is responsible for customer support, billing, and all customer-facing aspects of the subscription.

Any unauthorized use, distribution, modification, reverse engineering, or reproduction of the software is strictly prohibited and may result in legal action.

6. INTELLECTUAL PROPERTY & LICENSE

You are granted a limited, non-exclusive, non-transferable license to use the DPSkin Essentials software during the term of your subscription. This license is revoked upon cancellation, breach, or expiration.

All intellectual property rights remain solely with Pixience. No part of the software may be reused, republished, rebranded, resold, or distributed without explicit written permission.

7. CHANGES

We reserve the right to modify these Terms at any time. Customers will be notified of changes via email or in-app notice at least 30 days before the effective date.
